1. Who we are and what we offer

Bidvalio is a service operated by CodePixelfy LLC ("Bidvalio", "we"). At the request of a bidder ("the client"), the service checks the documents of a bid for a public procurement procedure against the requirements in the tender documentation and common formal errors, and delivers a written report. The service is intended exclusively for legal entities and professionals.

2. What the service is and what it is not

• The report is a factual check of the documents received. We flag what is missing, what does not match and where, with the source.
• The report is not legal advice, does not interpret how the law applies to the client's situation and is not an opinion on the grounds for exclusion.
• We do not draft challenges, complaints or other legal documents and we do not represent the client before the contracting authority or the CNSC.
• We have no access to the client's SEAP account and we do not sign or submit documents on the client's behalf. The decision to submit and the content of the bid belong entirely to the client.
• The analysis uses artificial intelligence models and is reviewed by a person before delivery. It may contain omissions; the client remains responsible for checking the bid.

3. Order and payment

The price is the one displayed when the order is placed, payable in full in advance through the payment processor Stripe. The invoice is issued electronically. By placing the order, the client accepts these Terms and the Privacy policy.

4. Client obligations

• The client sends the complete documents, in the form it intends to submit, including the published clarifications and errata.
• The client has the right to send us the documents, including the personal data in them (for example the experts' CVs), and has informed the people concerned.
• The client uses the personal link received only for its own order and does not make it public.

5. Delivery

The report is usually delivered on the same working day and, as a guide, within 24 hours of the documents being uploaded at most. This timeframe is not guaranteed; the client must send us the documents early enough before the submission deadline. The report is written in the language chosen when ordering; quotes from the documents stay in the original language.

6. Refund guarantee

If the submitted bid is rejected by the contracting authority solely for a formal reason that was evident from the documents sent to us and that the report did not flag, we refund the price paid for the check, on request, based on the notification of the outcome. The guarantee does not apply if the submitted bid differs from the documents checked or if the reason relates to technical, price or legal assessments.

7. Limitation of liability

To the extent permitted by law, Bidvalio's total liability for any damage related to an order is limited to the price paid for that order. Bidvalio is not liable for indirect damage, including loss of the contract, of profit or of an opportunity. The limitation does not apply to damage caused intentionally or through gross negligence. The client expressly accepts this clause through a separate confirmation when placing the order.

8. Confidentiality

We treat the client's documents as confidential information. We use them only to carry out the check, we do not show them to other clients and we do not use them to train AI models. The details are in the Privacy policy.

9. Recheck

The first recheck of the same bid, after corrections, is included in the price, if the new documents are sent within 7 days of the report being delivered.

10. Governing law

These Terms are governed by the laws of the State of Delaware, United States of America, without regard to its conflict of laws rules. We first try to settle any disagreement amicably: write to us at contact@bidvalio.com. If no agreement is reached, disputes are settled exclusively by the state or federal courts located in the State of Delaware, USA. This choice does not remove any rights that cannot be waived by contract under the law of your country.
